These Terms of Service ("Terms") govern your use of www.karapoint.com (the "Site"), operated by Karapoint, LLC ("Karapoint," "we," "us," or "our"). By accessing or using the Site, you agree to these Terms. If you don't agree, please don't use the Site.
Use of the Site
You may use the Site for lawful purposes and to learn about and contact us regarding our services. You agree not to misuse the Site — for example, by attempting to disrupt it, access it through automated means that burden our infrastructure, submit spam or malicious content, infringe others' rights, or breach any applicable law.
Our services and engagements
The Site is informational. Nothing on it is an offer, a quote, or a binding commitment to perform work. Any services we provide — including App Rescue & Launch, Enterprise CMS & Architecture, and Launch With Us — are governed by a separate written agreement that defines scope, fees, timelines, ownership, and other terms. Where that agreement conflicts with these Terms, the agreement controls for that engagement. Descriptions of our process and services on the Site may change at any time.
Submissions and idea pitches
If you send us an idea, pitch, repository, app, or other material — including through our "Launch With Us" path — please understand:
- Submitting material does not create a partnership, joint venture, or confidentiality obligation unless we've agreed to one in writing.
- We receive many ideas, and we or others may already be developing something similar. A submission gives us no obligation to pursue it and gives you no claim over our independent work.
- Don't send confidential or proprietary information you don't want shared until we have a signed agreement in place. Any revenue-share or ownership arrangement is set out in that agreement, not by these Terms.
- You represent that anything you submit is yours to share and does not infringe the rights of others.
Intellectual property
The Site and its content — including text, design, graphics, logos, and the "Karapoint" name — are owned by or licensed to Karapoint and are protected by intellectual-property laws. You may not copy, reproduce, or reuse our content without our permission, except as permitted by these Terms or applicable law.
Third-party links
The Site may link to third-party websites or services we don't control. We're not responsible for their content, policies, or practices, and including a link is not an endorsement.
Disclaimer
The Site is provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that the Site will be uninterrupted, error-free, or secure, or that any information on it is complete or current.
Limitation of liability
To the fullest extent permitted by law, Karapoint and its members and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or relating to your use of the Site. Our total liability for any claim relating to the Site is limited to one hundred U.S. dollars (US$100). Some jurisdictions don't allow certain limitations, so some of these may not apply to you.
Indemnification
You agree to indemnify and hold Karapoint harmless from any claims, losses, or expenses arising out of your misuse of the Site or your breach of these Terms.
Governing law
These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws rules. You agree that any dispute relating to the Site or these Terms will be subject to the exclusive jurisdiction of the state and federal courts located in Florida.
Changes to these Terms
We may update these Terms from time to time. When we do, we'll revise the "Last updated" date above. Your continued use of the Site after changes take effect means you accept the revised Terms.
